A. Bounce Business Directory

1. Definitions
• Advertiser: Any business or individual listing services, products, or placing an advertisement on the Bounce Business Directory.
• Directory: The Bounce Business Directory platform.
• Content: All text, images, videos, and other materials submitted by the Advertiser for inclusion in the Directory.
• Advertisement: Any promotional material submitted by the Advertiser for display on the Directory.

2. Agreement
By submitting a listing or advertisement, the Advertiser agrees to be bound by these Terms and Conditions.

3. Submission and Approval
• Bounce Promotions reserves the right to approve or reject any listing or advertisement at its sole discretion.
• The Advertiser warrants that all Content and Advertisement content is accurate, truthful, and does not infringe on any third-party rights.
• Bounce Promotions may edit or modify Content or Advertisement content to comply with Directory standards or applicable laws.

4. Intellectual Property
• The Advertiser retains ownership of the Content and Advertisement content but grants Bounce Promotions a non-exclusive, worldwide, royalty-free license to use, reproduce, and display the Content and Advertisement for the purpose of operating the Directory.
• Bounce Promotions owns all intellectual property rights in the Directory, including its design, layout, and functionality.

5. Indemnification
The Advertiser agrees to indemnify and hold harmless Bounce Promotions from any claims, damages, or liabilities arising from the Advertiser's Content, Advertisement content, or breach of these Terms and Conditions.

6. Limitation of Liability
Bounce Promotions shall not be liable for any indirect, incidental, or consequential damages arising from the use of the Directory or reliance on any Content or Advertisement.

7. Termination
Bounce Promotions may terminate the listing or advertisement without cause or with notice. In case of termination by Bounce Promotions due to Advertiser's breach, the Advertiser may not be entitled to a refund.

8. Payment and Fees
• The Advertiser agrees to pay all fees associated with the listing or advertisement as outlined in the applicable pricing structure.
• Payment terms are as specified by Bounce Promotions.

9. Data Privacy
Bounce Promotions will handle Advertiser's data in accordance with its Privacy Policy.

10. Service Continuity
Bounce Promotions does not guarantee uninterrupted, timely, secure, or error-free service.

11. Entire Agreement
These Terms and Conditions constitute the entire agreement between the parties and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.

12. Warranties
Bounce Promotions makes no warranties, express or implied, regarding the Directory or its services.

13. Data Retention
Advertiser data will be retained for six months after termination of the listing or advertisement unless otherwise required by law.

14. Third-Party Services
The Directory may use third-party services. The Advertiser acknowledges and agrees to be bound by the terms and conditions of such third-party services.

15. User-Generated Content
If applicable, any user-generated content submitted through the Advertiser's listing or advertisement is subject to the Directory's overall terms of use and community guidelines.

16. Content Standards
Listings and advertisements must comply with the Bounce Business Directory standards.

17. Advertisement Placement and Duration
Advertisement placement and duration will be as agreed upon by Bounce Promotions and the Advertiser.
Bounce Promotions reserves the right to change Advertisement placement without prior notice.

18. Late Payments
Late payments for advertisements may result in the removal of the Advertisement or additional charges.
